Welcome to -X-SkywayTM! -X-Skyway is the 3D Metaverse of the TorqueForm Tribrid (Luxauro, TF Empires, and Gold Metal Guild) collectively, the “Company.” By accessing or using the -X-Skyway platform (the “Platform”), you agree to be bound by Our Terms and Conditions. -X-Skyway is a trademark of Luxauro, LLC. TF Empires is a dba of Goldevine, LLC. Gold Metal Guild is a dba of Luxauro, LLC. These Promotional Terms (“Promotional Terms”) govern your access and use of our services, including the opportunity to make a bonus property claim as described below. Additional Terms may apply as the Platform reaches new stages of development. As stated in Section 4.1, the Company will post a prominent notification of any updated terms on the website when applicable.

1. Eligibility to Participate in -X-Skyway Virtual Property Claim

  1. For a limited time, Users may reserve digital property rights in the -X-Skyway 3D metaverse, which is currently under development, by making a virtual “property claim” of up to one (1) acre in the -X-Skyway metaverse. This virtual property claim applies only to the one address at which the individual currently resides in real life, i.e., the individual’s current and permanent address. This means that no matter how many properties a person may legally own in real life, each individual may claim only one -X-Skyway Virtual Property within the Platform that corresponds to their actual current residence on Earth during this limited time offer. Only one -X-Skyway Virtual Property Claim may be made per household or property address, regardless of how many individuals reside at that property. In cases of shared living situations, individuals must designate one claimant. For the purposes of this promotion, a User’s primary residence is defined as the address associated with their driver’s license, state ID, or lease agreement, as may be requested in case of conflicting property claims.

  2. To qualify for this -X-Skyway Virtual Property Claim, Users are required to:

    1. Be a U.S. citizen;

    2. Be the legal resident owner or current resident occupant (e.g., renter or lessee) of a property on Earth;

    3. Create a free User account on the TorqueForm. (An -X-Skyway Virtual Property Claim may also be made with a Paid Subscription, if desired.); AND
      • Users who purchase a subscription account can also receive a complimentary -X-Skyway Suite and additionally submit an -X-Skyway Virtual Property Claim in the -X-Skyway Metaverse.

    4. Make your account active by choosing from AT LEAST ONE (1) OF THE FOLLOWING OPTIONS:

      • Post a comment on the Luxauro Connect Business Brainstorm discussion forum about a market opportunity or business idea you may have, or suggestions of how to build positive business growth.

          • By participating and posting a comment on the Luxauro Connect Business Brainstorm forum, you acknowledge and agree that your publicly available User profile information, including your Username and comment, may be publicly visible to other Users on Luxauro Connect and may be retained and used by the Company for promotional, business growth, or community engagement purposes in accordance with our Privacy Policy. Please do not include any personal, confidential, or sensitive information in your comment.

      • Purchase a Product or Professional Service and post a public review* on that Product’s page or Professional Service’s page on Luxauro or Gold Metal Guild.

          • *Users must leave honest reviews of their purchases and include somewhere in their reviews the following statement: “This unbiased review was required in order to receive an -X-Skyway Virtual Property Claim as part of this promotion.” (Reviews are subject to Our Privacy Policy).

      • Refer at least one (1) friend or family member to sign up for any Subscription Account (Free or Paid) (By referring, you agree to Our Privacy Policy).

          • The individual being referred must send a message to us at verify@torqueform.com informing us of Your name and email address in order to complete Your -X-Skyway Virtual Property Claim.

          • Any referred individual who signs up for a Subscription Account within the promotional period will also receive an -X-Skyway Virtual Property Claim.

  2. Users acknowledge and agree that this bonus property claim is a limited-time promotional offer and participation is not contingent on any specific payment for virtual property rights.

2. Claim Process

  1. To reserve a complimentary virtual property claim within the -X-Skyway Metaverse, Users must first establish a User account. Upon account creation, the product titled “Bonus Property Claim in the -X-Skyway Metaverse” must be added to the User’s cart, and the checkout process completed. No payment information will be required for this product during the promotional period which ends November 17, 2024. Following checkout, Users will receive an email containing a passcode to access the claim submission form to formally file their virtual property claim. All claims will be retained on file and will be reviewed in conjunction with the development timeline for the respective regions in the -X-Skyway Metaverse platform. During the review process, -X-Skyway reserves the right to request verification of property claims in cases of conflicting claims at the same address or in any circumstances we deem necessary. If a User fails to submit the requested documentation within fourteen (14) business days of the request, that User will automatically forfeit their claim to the property. Claims may be denied if verification cannot be satisfactorily completed or if there are discrepancies in provided documentation.

  2. The bonus property claim submission period will be open only until November 17, 2024. Any User wishing to verify a property claim may submit an acceptable form of identification (e.g., state-issued driver’s license, government I.D., passport, etc.) and proof of occupancy (e.g., utility bills, lease agreements, etc.) to the Company’s end-to-end encrypted email address: verify@TorqueForm.com. 

  3. The Company’s decisions will be final.

3. No Guarantees or Warranties

  1. As the -X-Skyway 3D metaverse Platform is still in development, the Platform which includes, but is not limited to, the -X-Skyway Suites (defined below) and all bonus property claims are subject to change or discontinuation. The Company makes no guarantees, representations, or warranties regarding the rights, ownership, future use, transferability, or retention of claimed digital properties in the Platform. The Platform is offered on an “as-is” and “as-available” basis, without guarantees or warranties of any kind. Users acknowledge that participation in this bonus property claim promotion is for early access and/or beta-testing purposes only and does not convey any actual ownership or legal rights to real property within or outside the Platform. Further, participation in this promotion does not currently confer any immediate ownership or legal rights to virtual property within or outside the Platform. However, any User who successfully makes a valid property claim during this limited-time offer will gain access to a digital property in the Platform upon its full launch of that correlating region, subject to the Company’s sole discretion regarding future terms of use. All claims are subject to modification or revocation at the Company’s sole discretion. The Company reserves the right to modify, suspend, or discontinue this bonus property claim offering at any time without notice.

4. 3D Modeled Stores (“-X-Skyway Suites”)

  1. -X-Skyway Suites License. Users on the Platform may purchase customizable 3D-modeled stores (“-X-Skyway Suites”). The Company retains full copyright ownership of the 3D models but grants vendors a non-exclusive, revocable license to use their purchased -X-Skyway Suite for business operations on the Platform. If a vendor’s subscription ends, their license to use the -X-Skyway Suite is automatically revoked including access to the -X-Skyway Suite on the -X-Skyway Platform, and the vendor must not attempt to use the 3D -X-Skyway Suite on or off of the Platform. Unauthorized use of the vendor’s -X-Skyway Suite after the vendor’s subscription expires is strictly prohibited and may result in, without limitation, account deletion and legal action. Vendors may regain access to and use of their 3D -X-Skyway Suite on the Platform once they renew and pay for their subscription account plus all unpaid or overdue fees, if any.

  2. Promotional -X-Skyway Suites. Until November 17, 2024, all Luxauro Merchant and Gold Metal Guild paid Subscription Accounts include access to a complimentary 3D -X-Skyway Suite available for digital download.

  3. -X-Skyway Suite Packages. Any User may choose from a range of configurable -X-Skyway Suites that are listed on the Platform for a set list of tiered features with corresponding tiered prices. Any configurable -X-Skyway Suites will be processed and delivered on a first come, first served basis.

  4. Custom Design Work. Any User may purchase a custom-built -X-Skyway Suite. Any -X-Skyway Suites that are custom-built by the Company or its affiliates will be processed and delivered on a first come, first served basis for a custom quoted price. Users have the option to choose from a number of customizable options for their custom-built -X-Skyway Suite. Alternatively, Users may engage the services of Company Affiliates to professionally design their -X-Skyway Suite for a custom quoted price.

  5. Additional Work Requests. Any additional work, edits, remodeling, or any other types of changes, excluding any corrections, requested by Users following the delivery and completion of their -X-Skyway Suite shall be considered outside the scope of the original agreement. Such additional work will require a separate contract with new terms, conditions, and fees, to be agreed upon by both parties prior to commencement of any additional services. The Company is under no obligation to provide additional work unless both parties reach a mutual agreement on the terms, conditions, and fees in a new contract.

  6. Premium Placement. Any Users who purchase an available slot in the “-X-Skyway Emporium” for their -X-Skyway Suites will receive top priority over standard custom-designed -X-Skyway Suites since these are premium locations and there are a limited number of slots in the Emporium.

  7. Approval. All -X-Skyway Suites must abide by the Terms and Conditions of the TorqueForm Tribrid and must first pass approval of the Platform before being published within the -X-Skyway metaverse.

  8. Copyright. The Company retains exclusive copyright over basic and configurable -X-Skyway Suites. While Users may purchase and utilize these -X-Skyway Suites in accordance with the Terms and Conditions of the TorqueForm Tribrid, ownership of the copyright remains with the Platform. Users are granted a limited, non-transferable license to use their -X-Skyway Suite. Users are strictly prohibited from reproducing, distributing, reverse engineering, or creating any derivative works from their -X-Skyway Suites without express permission from the Platform.

5. Changes to the Promotional Terms

  1. The Company reserves the right to update or modify these Promotional Terms at any time. The Company will post a prominent notification of the updated Promotional Terms on the website. It is the responsibility of Users to review these Promotional Terms periodically for updates. In the event of material changes, the Company may notify Users by email or other means in addition to posting an updated version on the Platform. Continued use of the Platform following any modifications constitutes acceptance of the revised Promotional Terms. If a User does not agree to the updated Promotional Terms, they may not continue to use the Platform.

6. Limitations of Liability

  1. To the fullest extent permitted by law, the Company shall not be liable for any damages, losses, or disputes arising from Users’ participation in this bonus property claim process or any engagement with, use of, or access to, Platform services, products, or features. This limitation of liability does not apply in cases of willful misconduct, gross negligence, or other situations where such limitations are prohibited by law.

7. Indemnity

  1. Users agree to indemnify and hold harmless the Company and its affiliates against any third-party claims arising from their use of the Platform, content posted, or any alleged violation of the Terms.

8. Governing Law

  1. These Promotional Terms are governed by the laws of the United States and the applicable state laws, without regard to its conflict of law principles. Any legal action or proceeding related to these Promotional Terms must be brought in the federal or state courts located in Montana.

9. External Links

  1. Our Platform may contain links to third-party web sites or services that are not owned or controlled by -X-Skyway. -X-Skyway has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that -X-Skyway shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

10. Termination

  1. We may terminate or suspend access to our Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Promotional Terms or the Terms and Conditions of the TorqueForm Tribrid. All provisions of these Promotional Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11. Disclaimer

  1. Your use of the Platform is at your sole risk. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without representations, warranties, or guarantees of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
